DistroPro Technologies ("DistroPro," "we," "our," or "us") is a Nigerian research and engineering lab that builds, incubates, and maintains long-term software systems and technology infrastructure through equity-aligned partnerships.

Eligibility
To engage our services, you must:
- Have the legal capacity to enter into binding contracts
- Represent a legitimate business entity or project (for partnership inquiries)
- Provide accurate and complete information
- Comply with all applicable laws and regulations
Nature of Engagement
DistroPro operates primarily through equity-aligned partnerships, not traditional fee-for-service arrangements.
This means:
- We take equity stakes in projects we incubate or co-build
- We maintain long-term involvement in projects we work on
- Our interests are aligned with the success of our partners
- Specific terms are negotiated on a case-by-case basis
Each partnership is governed by separate written agreements that supersede these general Terms where applicable.
Intellectual Property
Our Property
All intellectual property created by DistroPro prior to or independent of a partnership remains our property, including: Proprietary research and methodologies, Internal tools and frameworks, DistroPro branding and materials
Open Source Contributions
DistroPro actively contributes to open-source projects. Open-source work is governed by the applicable open-source licenses (e.g., MIT, Apache 2.0, GPL).
Partnership IP
Intellectual property created during partnerships is addressed in individual partnership agreements and may vary based on the nature of collaboration.
Use of Website
You agree not to:
- Use our website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the website
- Collect information about other users without consent
- Impersonate DistroPro or misrepresent your affiliation with us
No Guarantees
While we strive for excellence in all our work:
- We do not guarantee specific outcomes for projects
- Success of incubated projects depends on many factors beyond our control
- Past performance does not guarantee future results

Limitation of Liability
To the maximum extent permitted under Nigerian law:
- DistroPro is not liable for indirect, incidental, or consequential damages
- Our liability is limited to direct damages actually incurred
- We are not responsible for failures due to factors beyond our reasonable control
- Partners assume risks associated with software development and emerging technology
Confidentiality
Both parties in any business relationship agree to:
- Keep confidential information private
- Use confidential information only for agreed purposes
- Return or destroy confidential information upon request

Termination
We reserve the right to:
- Refuse service to anyone for any lawful reason
- Terminate discussions or partnerships that create legal or reputational risk
- Discontinue website features or services with reasonable notice
Partnership termination is governed by individual partnership agreements.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Dispute Resolution:
- Disputes shall first be resolved through good faith negotiation
- If negotiation fails, disputes shall be resolved through arbitration in Lagos, Nigeria
- Arbitration shall be conducted under the Nigerian Arbitration and Conciliation Act
- Each party bears its own costs unless otherwise determined by the arbitrator
Indemnification
You agree to indemnify and hold DistroPro harmless from claims, damages, or expenses arising from:
- Your violation of these Terms
- Your violation of applicable laws
- Your misuse of our services or website
- Misrepresentation of facts in partnership discussions
Entire Agreement
These Terms, together with our Privacy Policy and any executed partnership agreements, constitute the entire agreement between you and DistroPro regarding use of our services.
Modifications
We may update these Terms at any time. Material changes will be communicated through:
- Notice on our website
- Email to business contacts
- Direct communication with active partners
Continued use of our services after changes constitutes acceptance of updated Terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No Waiver
